2. Nature of Services — Referral & Subcontractor Model

IMPORTANT — PLEASE READ CAREFULLY. The Duct Badger operates as a referral and coordination service. When you submit a quote request or book a service through this website, The Duct Badger may refer your service request to one or more independent, third-party service providers ("subcontractors") who will perform the work at your property.

The Duct Badger is not the direct service provider for every job. In many cases, we identify, coordinate, and dispatch qualified subcontractors to fulfill your service request. The Duct Badger receives a referral fee or commission in connection with this arrangement.

By submitting a form or requesting service through this website, you acknowledge and agree to the following:

Your service may be performed by an independent licensed subcontractor, not directly by The Duct Badger
You will be notified of the assigned service provider prior to the appointment where reasonably possible
The Duct Badger acts in the capacity of a referral coordinator, not a general contractor or employer

3. Independent Contractor Status

All service providers referred through The Duct Badger are independent contractors and are not employees, agents, partners, or joint venturers of The Duct Badger. The Duct Badger does not control the means, methods, or manner in which subcontractors perform their work at your property.

Each subcontractor is independently responsible for:

The quality and workmanship of their services
Compliance with all applicable laws, codes, and licensing requirements
Carrying their own general liability and workers' compensation insurance
Any damages, injuries, or losses arising from their work

The Duct Badger makes reasonable efforts to refer only qualified and reputable service providers, but makes no guarantee of any subcontractor's workmanship, licensing status, or conduct at your property.

4. Limitation of Liability for Subcontractor Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE DUCT BADGER SHALL NOT BE LIABLE for any property damage, personal injury, loss, or harm of any kind arising from the acts, omissions, negligence, or misconduct of any independent subcontractor referred through this service.

This limitation includes but is not limited to:

Accidental damage to floors, walls, ceilings, appliances, or personal property
Injuries to persons at the property during service
Incomplete, defective, or unsatisfactory workmanship
Theft or loss of property during or after a service visit
Any damage resulting from pre-existing conditions discovered during service

Your sole recourse for any claim arising from a subcontractor's actions is directly against that subcontractor. The Duct Badger will, upon written request, provide you with the name and contact information of the subcontractor who performed your service.

By checking the acknowledgment checkbox on our quote form and submitting a service request, you expressly release The Duct Badger from any and all liability for damages caused by referred subcontractors.

5. Dispute Resolution

In the event of a dispute with a subcontractor regarding services performed at your property, The Duct Badger will make reasonable good-faith efforts to assist in communication and resolution, but is under no legal obligation to compensate you for damages caused by an independent third party.

Any dispute between you and The Duct Badger specifically (not a subcontractor) shall first be submitted to non-binding mediation in Hennepin County, Minnesota before any legal action is initiated.

6. Use of the Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

Use the site to transmit unsolicited commercial communications
Attempt to gain unauthorized access to any part of the website
Use any automated tools to scrape, crawl, or harvest data from this website
Reproduce, duplicate, or copy content from this website without written permission
Submit false or misleading information through any form on this website

8. Quote Requests & Form Submissions

When you submit a quote request or contact form on this website, you agree that:

The information you provide is accurate and complete
We may contact you by phone, text, or email to follow up on your request
Submitting a form does not guarantee service availability on a specific date
Quotes provided are estimates and may be adjusted after an on-site inspection
